1. Scope

These General Terms and Conditions apply to all contracts concluded via the Ladegut Holz online shop between

– hereinafter referred to as the "Seller" –

and its customers.

Customers may be either consumers or businesses.

A consumer is any natural person who enters into a legal transaction for purposes that can predominantly be attributed neither to their commercial nor their self-employed professional activity.

A business is a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their commercial or self-employed professional activity.


2. Subject Matter of the Contract

The subject matter of the contract is the sale of goods offered in the online shop.

The essential characteristics of the respective goods are set out in the corresponding product description in the online shop.

Product images are used to illustrate the goods offered.

Since variations may occur particularly with wood and other natural materials, minor differences in colour, grain, structure, shape or surface are possible.

Such material-specific variations do not constitute a defect provided that they do not impair the agreed characteristics or the normal or contractually intended use of the goods.


3. Conclusion of the Contract

The presentation of products in the online shop does not constitute a legally binding offer, but rather an invitation to the customer to place an order.

The customer may select products and add them to the shopping cart.

Before submitting the order, the customer is given the opportunity to review and, if necessary, correct their information and the selected products.

By clicking the "Order with obligation to pay" button, the customer submits a binding offer to conclude a purchase contract for the goods contained in the shopping cart.

After the order has been received, the customer receives electronic confirmation that the order has been received. This confirmation of receipt does not constitute acceptance of the customer's offer unless acceptance is expressly declared therein.

The purchase contract is concluded when the Seller expressly accepts the order or dispatches the ordered goods to the customer.

The contractual language is German.


4. Prices and Small Business Regulation

The prices displayed in the online shop at the time the order is placed shall apply.

The Seller applies the small business regulation pursuant to Section 19 of the German Value Added Tax Act (UStG). VAT is therefore not shown separately.

Shipping costs may be charged in addition to the stated product price.

Any applicable shipping costs will be displayed to the customer before the customer submits the binding order.


5. Payment Terms

Payment is made in advance by bank transfer.

After completing the order, the customer receives the bank details required for payment, the total amount of the order and a payment reference allowing the payment to be clearly assigned to the order.

The invoice amount must be transferred in full to the specified bank account within 7 days of conclusion of the contract.

Processing and dispatch of the order generally take place after full payment has been received, unless otherwise agreed between the Seller and the customer.

If payment is not received within the payment period, the Seller may grant the customer a reasonable additional period for payment and, if payment is still not made within that period, withdraw from the contract in accordance with the applicable statutory provisions.


6. Delivery and Shipping

Delivery will be made to the delivery address provided by the customer when placing the order.

The delivery areas available in the online shop and the respective shipping costs will be displayed to the customer during the ordering process.

The applicable delivery time is specified in the online shop or in the respective product description.

For advance payment by bank transfer, the delivery period generally begins once full payment has been received, unless otherwise stated or agreed.

The customer will be informed in the event of an unforeseen delay.


7. International Deliveries

Where the Seller offers delivery to countries outside Germany, the shipping costs and delivery conditions specified during the ordering process shall apply.

For deliveries to countries outside the European Union, additional customs duties, import taxes or other charges may apply.

These charges are not collected by the Seller and are generally payable by the customer to the relevant authorities or other responsible bodies.

The customer is responsible for obtaining information about any applicable import regulations and charges in the destination country.


8. Unavailability of Goods

If an ordered item is exceptionally unavailable, the customer will be informed without undue delay.

If delivery is permanently impossible, the Seller may refrain from accepting the customer's offer or, where the statutory requirements are met, withdraw from the contract.

Any payments already made for goods that cannot be delivered will be refunded to the customer without undue delay.

Any further statutory rights of the customer remain unaffected.


9. Retention of Title

The delivered goods remain the property of the Seller until the purchase price has been paid in full.


10. Right of Withdrawal

Consumers generally have a statutory right of withdrawal in the case of distance contracts.

Details concerning the right of withdrawal, in particular its requirements, time limits, exercise and consequences, are set out in the Seller's separate cancellation policy.

The right of withdrawal may, in particular, be excluded for contracts concerning goods that are not prefabricated and for the manufacture of which an individual choice or decision by the consumer is decisive, or which are clearly tailored to the consumer's personal requirements.

Whether the right of withdrawal is excluded depends on the statutory requirements applicable to the individual case.


11. Return Costs in the Event of Withdrawal

In the event of a valid withdrawal, the consumer shall bear the direct costs of returning the goods, provided that the consumer has been informed of this in accordance with the statutory requirements.

12. Warranty and Liability for Defects

The statutory rights regarding liability for defects apply.

Customers are requested to inspect the goods upon receipt for obvious transport damage and, where possible, to report such damage directly to the carrier and inform the Seller.

For consumers, compliance with this request is not a prerequisite for asserting statutory claims. The consumer's statutory warranty rights and rights relating to defects are not restricted by this request.


13. Natural Materials and Handmade Products

Some of the goods offered may be made from natural materials, particularly wood.

Due to the natural characteristics of these materials, variations in colour, grain, structure, surface or shape may occur.

Handmade products or products manufactured in small quantities may also exhibit minor production-related differences between individual items.

Material-specific and minor production-related variations do not constitute a defect provided that they do not impair the agreed characteristics or the normal or contractually intended use of the product.


14. Liability

The Seller shall be liable without limitation for damage resulting from an intentional or grossly negligent breach of duty by the Seller, its legal representatives or agents.

The Seller shall also be liable without limitation in the event of culpable injury to life, body or health.

In the event of a slightly negligent breach of an essential contractual obligation, liability shall be limited to the foreseeable damage typical for the contract at the time the contract was concluded.

Essential contractual obligations are obligations whose fulfilment is necessary for the proper performance of the contract and on whose compliance the contractual partner may regularly rely.

Liability under mandatory statutory provisions, in particular under the German Product Liability Act (Produkthaftungsgesetz), remains unaffected.


15. Storage of the Contract Text

The order data is stored by the Seller for the purpose of processing the contract.

After submitting the order, the customer receives an electronic confirmation containing the essential information relating to the order.

These General Terms and Conditions can be accessed via the website and may be saved or printed.

16. Electronic Withdrawal Function

Where the consumer has a statutory right of withdrawal, the Seller provides an electronic withdrawal function on the website for the duration of the statutory withdrawal period in accordance with the applicable statutory requirements.

17. Data Protection

The customer's personal data is processed in accordance with the applicable data protection laws.

Further information concerning the nature, scope and purpose of the processing of personal data can be found in the Seller's Privacy Policy.


18. Consumer Dispute Resolution

Where the Seller is not legally obliged to participate in dispute resolution proceedings before a consumer arbitration board, the Seller is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.


19. Applicable Law

The law of the Federal Republic of Germany shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

For consumers, this choice of law applies only insofar as it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence.


20. Place of Jurisdiction

For consumers, the statutory provisions regarding jurisdiction shall apply.

If the customer is a merchant, a legal entity under public law or a special fund under public law, the statutory provisions regarding jurisdiction shall apply or, where legally permissible, the Seller's registered place of business may be agreed as the place of jurisdiction.
